Terms of Service
Effective September 22, 2026
1. Acceptance of terms
By accessing or using Opsynth Desk at desk.opsynth.co (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of service
Opsynth Desk is a task-management and procurement-workflow tool for manufacturing buyers. Features include vendor management, bill-of- materials monitoring, quote tracking, project management, and AI-assisted inbox triage via Microsoft Graph and Anthropic Claude. Features may be added, changed, or removed at any time.
3. Your account
You must provide accurate registration information and keep it current. You are responsible for the security of your account credentials and for all activity under your account. Notify us immediately atsupport@opsynth.co if you suspect unauthorized use.
4. Acceptable use
You agree not to:
- Use the Service in violation of any applicable law or regulation.
- Attempt to gain unauthorized access to the Service, other users' accounts, or the underlying infrastructure.
- Interfere with or disrupt the Service, including via denial-of-service attempts or excessive automated requests.
- Reverse-engineer, decompile, or otherwise attempt to extract source code, except to the extent expressly permitted by law.
- Resell, sublicense, or make the Service available to third parties outside your organization without our prior written consent.
- Upload content that infringes intellectual-property rights, contains malware, or violates the privacy of others.
- Use the Service to send unsolicited commercial email (“spam”) or otherwise abuse connected mailboxes.
5. Your content
You retain all rights to the data you upload, generate, or connect to the Service (“Customer Content”), including bills of materials, vendor records, quotes, project artifacts, and connected mailbox metadata. You grant Opsynth a limited, non-exclusive license to store, process, and display Customer Content solely for the purpose of providing the Service to you.
You are responsible for the accuracy, legality, and appropriateness of Customer Content. You represent that you have the rights necessary to upload it and that no third-party rights are violated by its use in the Service.
6. Third-party integrations
The Service integrates with third-party providers to deliver its features. Your use of those features may be subject to the third party's own terms:
- Microsoft Graph (Outlook mailbox scanning, calendar, contacts)
- Anthropic Claude (AI classification and summarization)
- Stripe (payments)
- Cloudflare (authentication and hosting edge)
- Sentry (error monitoring)
We are not responsible for the availability, accuracy, or terms of third-party services. See our Privacy Policy for details on what data is shared with each.
7. AI-generated content
Some features produce output using large-language-model providers (currently Anthropic Claude). AI output may be inaccurate, incomplete, or misleading. Opsynth does not warrant the accuracy of AI-generated summaries, classifications, or extractions. You are responsible for reviewing AI output before acting on it.
8. Fees and payment
Some tiers of the Service require payment. Fees, billing cycle, and plan features are displayed at checkout. All fees are non-refundable except as required by law or as expressly stated in your plan. Failure to pay may result in suspension or termination of your access.
9. Termination
You may cancel your account at any time from Settings → Data → Delete workspace, which permanently removes your data. We may suspend or terminate your access for material breach of these Terms, non-payment, or where required by law. On termination, your right to use the Service ends immediately.
10. Intellectual property
The Service, including all software, design, branding, and documentation, is owned by Opsynth and its licensors. Except for the rights expressly granted in these Terms, no other rights are transferred to you.
11. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Opsynth DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Opsynth WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE FEES YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You agree to indemnify and hold Opsynth and its affiliates harmless from any claim, demand, or damages arising out of your use of the Service, your Customer Content, or your violation of these Terms or applicable law.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced by email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
15. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.
